Le droit de vote dans les assemblées d'actionnaires

Abstract : In the corporation where supreme power belongs to the shareholders, the voting right assures to the latter to participate in the administration. Each shareholder has the right voting according the principle "one share one vote". Economic evolution, has lead the French legislater to enovate new securities which can renfoce the capital of the corporation without modifying the power equilibrium in the firm. The multiplication of securities without voting right and the renunciation of the shareholder to exercise the voting right may distort the mechanism of power exercising within the corporation. Therefore, the voting right loses regularly its strength. This loss is susceptible to develop abuse. To avoid such an abuse, a reform is inevitable. However, before undertaking an eventual reform examination of the legal voting right is necessary.
