Le dirigeant de fait en droit privé français

Abstract : The leader in fact exerts the power of management of the company instead of the regularly appointed leaders or with those. The company being a moral person whose organization is the subject of a special attention of the legislator because of his importance in the modern economy, the intervention of a leader in fact causes many interrogations as for the effectiveness of these rules. This thesis examines the historical circumstances in which the concept of leader in fact appeared in the French right applicable to the business firms in order to determine the existence or not will of the legislator to authorize or to prohibit the direction in fact. It tries to contribute modestly to the knowledge of the statute of leader in fact on three principal points. It specifies initially the conditions which make it possible to allot to a person the quality of leader in fact of a company. It determines then the legal provisions which are applicable to such a leader. She proposes finally a legal theory to justify the application of these rules. The result of research makes it possible to affirm that in spite of the original legal nature of his intervention, the leader in fact enjoys gradually a statute of social leader in French right.
